Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you ("you," "Client") and Gangsta Geeks LLC, a limited liability company operating under the trade name (DBA) Live Black Media ("Live Black Media," "we," "us," or "our").

By using our website (liveblackmedia.com), submitting a booking or inquiry, opting in to our SMS messaging program, paying a deposit, or engaging us for any service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference.

If you do not agree with any part of these Terms, do not use our website or services.

About Us

Live Black Media is a multi-media production and consulting company offering photography, videography, drone footage, music videos, commercials, event coverage, livestreaming, podcast production, photo booth services, and related creative work. We operate in the Houston, TX and Hampton Roads, VA regions and accept select bookings outside those areas with travel arrangements.

Services Offered

Our service packages and pricing are described on our website and in your booking confirmation. Current packages include but are not limited to:

• Creator Starter — drone-only social shoot, 1-minute vertical reel
• Creator Plus — drone + ground b-roll, up to 2 locations, 2 finished videos
• Creator Pro Studio — multi-cam, BYX Studios access, full cinematic edit
• Custom bookings — weddings, events, commercials, music videos, podcasts, livestreaming, photography sessions

Final scope, deliverables, location count, edit length, and pricing for your specific project are confirmed in your written booking (form submission, email, or invoice). The booking confirmation, combined with these Terms, forms your project agreement.

Live Black Media does not book weddings. Engagement, anniversary, and family event coverage are accepted; full wedding ceremonies are not part of our service offering.

Bookings, Deposits & Payments

A. Booking Confirmation

Your booking is not confirmed until: (1) we accept the project in writing (email or messaging confirmation), and (2) the required deposit is paid in full.

B. Deposit

A non-refundable deposit of 30% of the total project fee is required to reserve your date and lock in your booking. Without the deposit, the date is not held and we may accept other bookings for that time.

C. Final Payment

The remaining balance (70%) is due on or before the shoot date unless otherwise agreed in writing. We will not begin editing or release any deliverables until the final balance is paid in full.

D. Accepted Payment Methods

We accept payment via the methods displayed on our booking page or invoice — typically credit/debit card, Stripe, Cash App, or bank transfer. Card payments are processed by PCI-compliant third-party processors; we do not store full card numbers.

E. Late Payments

Invoices unpaid more than 7 days past the due date may incur a 1.5% monthly late fee on the outstanding balance, plus any costs we incur in collection.

Cancellations, Reschedules & Refunds

A. Client Cancellations

• More than 14 days before the shoot: Deposit is forfeited (non-refundable). No further charges.
• Within 7–14 days: Deposit is forfeited, plus 25% of the remaining balance.
• Within 0–7 days: Deposit is forfeited, plus 50% of the remaining balance, plus any non-recoverable third-party costs (studio rental, travel, contracted crew).
• Same-day no-show: Full project fee is due.

B. Reschedules

You may reschedule once at no charge if you give us at least 72 hours' notice. Additional reschedules, or reschedules with less than 72 hours' notice, may be subject to a $50–$150 reschedule fee depending on package and third-party costs already incurred.

C. Our Cancellation

If we must cancel due to circumstances within our control, we will refund 100% of any amounts paid (including the deposit). If we must cancel due to force majeure (Section 14), we will work in good faith to reschedule or, if not possible, refund the unused portion of your payment.

D. Refunds After Delivery

All sales are final once deliverables are released. Because creative work is subjective and labor has already been performed, refunds are not provided for completed projects. We will, however, make reasonable revisions per Section 7.

Client Responsibilities

You agree to:

• Provide accurate and complete project information at the time of booking
• Secure any permits, location access, or property releases required at your shoot location
• Obtain releases from any third parties (talent, models, attendees) whose likeness will appear in the footage where required by law
• Be on time and ready at the agreed call time — late arrivals may reduce shoot time without refund
• Communicate creative direction, shot lists, and any special requests in advance
• Respect our crew, equipment, and intellectual property

You represent and warrant that you have the legal right to engage us for the project and that the project will not infringe on any third party's rights.

Deliverables & Turnaround

A. Standard Turnaround

Final deliverables are released within 3–5 business days after the shoot for standard packages, unless otherwise stated in your booking. Larger projects (multi-day shoots, commercials, podcast series) may have longer timelines disclosed in your booking.

B. Revisions

Each package includes up to 2 rounds of minor revisions (color tweaks, music swaps, trim adjustments). Additional revisions or major recuts beyond the included rounds may be billed at our hourly rate ($75/hour).

C. Delivery Format

Deliverables are provided as digital download links (Google Drive, WeTransfer, or our gallery system). Standard output is 4K MP4 (video) and high-resolution JPEG (photo). We do not provide raw, unedited footage unless specifically agreed to in writing and quoted as a separate line item.

D. Archive

We keep project files for up to 90 days after delivery. After that, files may be deleted from active storage. If you need long-term archive access, request it in writing within the 90-day window.

Licensing & Usage Rights

A. Copyright

Unless otherwise agreed in writing, Live Black Media retains the copyright to all photographs, videos, and creative work we produce.

B. Your License

Upon full payment, you receive a perpetual, worldwide, non-exclusive, royalty-free license to use the delivered work for:

• Personal use (social media, family sharing, prints)
• Business marketing of the booking entity (website, social, ads, brochures)
• Promotional and editorial use related to the subject of the shoot

C. Restrictions

You may not, without separate written license:

• Resell or sublicense the work to third parties
• Submit the work to stock photo/footage marketplaces
• Use the work in any way that defames, harasses, or harms a person depicted
• Remove watermarks or credits where applicable

D. Exclusive Licensing

Full exclusive rights or copyright transfer (e.g., for commercial campaigns) are available as a separate paid agreement. Contact us for pricing.

Portfolio & Marketing Use

Unless you opt out in writing before the shoot, you grant Live Black Media a perpetual, royalty-free license to use the photos and footage we create for our own portfolio, website, social media, marketing materials, and promotional use — including identifying the client/subject by name and tagging on social media.

If you require confidentiality (e.g., for confidential commercial work or private events), you must request a portfolio-exclusion clause in writing before the shoot. This may carry a small premium depending on the project.

SMS / Text Messaging Terms

A. Opt-In

You agree to receive SMS messages only through one of these explicit opt-in methods:

• Checking an SMS-consent checkbox on a form on our website
• Texting an opt-in keyword (e.g., "START," "BOOK," or similar) to our published number
• Providing written or verbal consent during a booking conversation

B. Types of Messages

• Transactional / Operational: appointment confirmations, shoot day reminders, delivery notifications, payment receipts
• Conversational: replies to your inquiries, scheduling coordination
• Promotional (only with separate opt-in): service announcements, discounts, new offerings — capped at 4 messages/month unless you've agreed to higher frequency

C. Message & Data Rates

Message and data rates may apply based on your wireless carrier and mobile plan. Live Black Media is not responsible for any charges your carrier applies for sending or receiving SMS.

D. HELP — Customer Care

Reply HELP to any of our SMS messages to receive customer-care information. You can also reach us by phone at +1 (832) 988-0435 or by email at [email protected].

E. STOP — Opt-Out

You can opt out of our SMS messages at any time by replying STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to any text message. We will send you one final confirmation message and then stop sending you SMS communications. You can re-subscribe later by opting in again.

F. Supported Carriers

Our SMS program is supported on AT&T, Verizon, T-Mobile, US Cellular, Sprint, Boost Mobile, Cricket, MetroPCS, Virgin Mobile, and most major U.S. wireless carriers. Carriers are not liable for delayed or undelivered messages.

G. No Sharing of SMS Data

Your use of our SMS program is also governed by our Privacy Policy.

Acceptable Use of Website

You agree not to:

• Use our website for any illegal, harassing, or fraudulent purpose
• Attempt to access non-public areas, systems, or data
• Probe, scan, or test the vulnerability of our infrastructure
• Disrupt service through denial-of-service attacks or excessive automated requests
• Scrape, copy, or reuse our content (text, images, video, code) without permission
• Misrepresent your identity or impersonate any person or entity
• Submit false information through our booking or contact forms

We reserve the right to suspend or terminate access to anyone violating these rules.

Disclaimers & Limitation of Liability

We make reasonable efforts to deliver high-quality creative work, but we do not guarantee any specific creative outcome, audience response, business result, revenue, or virality from any content we produce.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Gangsta Geeks LLC, Live Black Media, and our owners, employees, contractors, and crew from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your breach of these Terms or your booking agreement
• Your violation of any law or any third party's rights (including IP, privacy, or publicity rights)
• Any claim made by a person or property at your shoot location
• Your misuse of the delivered work

Force Majeure

Neither party will be liable for delay or failure to perform due to events beyond reasonable control — including natural disasters, severe weather, fire, flood, pandemics, government action, civil unrest, war, terrorism, equipment failure outside our control, or telecommunications outages. In such cases, we will work in good faith to reschedule. If rescheduling is not possible, we will refund the unused portion of your payment after deducting non-recoverable third-party costs already incurred.

Governing Law & Disputes

These Terms are governed by and construed under the laws of the State of Texas, without regard to its conflict-of-laws principles.

Any dispute arising out of or related to these Terms or your booking shall first be addressed through good-faith negotiation. If unresolved within 30 days, the dispute shall be resolved by binding arbitration in Harris County, Texas, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver: All disputes will be conducted on an individual basis. You agree to waive any right to participate in a class action or representative proceeding.

Either party may seek injunctive or equitable relief in court for matters involving intellectual property or confidential information.

Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we will provide additional notice (banner on our website or direct email). Continued use of our services after the changes take effect means you accept the updated Terms.
